When a business certificate might fit your plan

A business certificate is one way to carry out individual activity in Lithuania, but it only works for certain activity types. Before deciding to apply, verify that your planned work is listed in the current State Tax Inspectorate activity classifier, that it does not exceed the permitted income or client-type limits, and that no other restrictions apply. A business certificate is simpler in some respects than other individual-activity forms, but that simplicity comes with specific conditions and rules.

Step-by-step verification before applying

  • Look up your activity type in the current VMI business-certificate activity list.
  • Check whether your expected clients, income scale, or service structure match the rules for that activity.
  • Verify the annual income limit for your chosen activity.
  • Confirm whether you will issue accounting documents to clients and how you will keep copies.
  • Review the current tax obligations, declaration requirements, and deadlines for your activity type.

Do not apply for a certificate and adjust later. The activity type, income limits, and client restrictions are fixed at the time of application and affect what you can legally do under that certificate.

Getting a certificate and keeping records

Order the certificate through the official VMI channel, check that all details match your activity, and keep both the confirmation and the issued certificate. From the effective date, you must follow the associated rules for that activity: which clients you can work with, income thresholds, and documentation obligations. Track your actual income and expenses carefully from the first day, because these must be declared annually and must fit within the limits for your chosen activity type.

When to change, extend, or close a certificate

  • You want to add a different activity type to the same certificate.
  • Your income is approaching or has crossed the annual limit.
  • Your client base or work model is shifting away from the activity type you registered.
  • You plan to apply for VAT registration or move to a different business form.
  • The activity year is ending and you need to renew or terminate the certificate.

Treat these decisions at the time they arise, not at the end of the year. Continuing to work outside the rules of your certificate creates complications for both you and the tax authority.
